Please read these terms carefully before using the Zeour website. By accessing it, you agree to be bound by these Terms. They govern use of this website — the purchase of Zeour products and services is covered by a separate written agreement.

1. About These Terms

These Terms and Conditions ("Terms") govern your access to and use of the website at www.zeour.co.uk, including the Rayan AI assistant, the enquiry forms, and the free-access demo programme (together, the "Website").

The Website is operated by Zeour Ltd ("Zeour", "we", "us", "our"), a company registered in England and Wales under company number 14173485, with its registered office at 20 Wenlock Road, London N1 7TA, United Kingdom. Zeour Ltd is registered with the UK Information Commissioner's Office (ICO) under registration number ZC153409.

These Terms apply to your use of the Website only. They are not the agreement under which Zeour supplies its products or professional services to customers — any purchase, licence, subscription, or deployment of a Zeour product or service is governed by a separate written agreement (see "Commercial Engagements Are Separate" below).

Please also read our Privacy Policy, which explains how we handle personal data and applies to your use of the Website.

2. Acceptance & Changes to These Terms

By accessing or using the Website, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, please do not use the Website.

If you use the Website on behalf of an organisation, you confirm that you have authority to accept these Terms on that organisation's behalf, and "you" includes that organisation.

We may revise these Terms from time to time to reflect changes to the Website, our practices, or the law. The version in force is the one published on this page, with the "Last Updated" date shown above. By continuing to use the Website after a change, you accept the revised Terms; we encourage you to review this page periodically.

3. What This Website Is

The Website is an informational and marketing website. It presents Zeour's portfolio of enterprise engineering products and services, including:

• GLARUS queue management, virtual queueing, online appointment, self-service kiosk, visitor management, wayfinding, and customer feedback systems

• GRAVIA digital signage

• MediCare clinic management (healthcare EMR)

• Smart Parking management

• Enterprise software development and digital transformation consultation, including sovereign on-premises AI

Access to and use of the Website itself is provided free of charge. The Website does not process payments and does not provide a customer account or self-service purchasing. Information about a product or service on the Website is provided for general guidance and does not constitute an offer to contract.

We may change, suspend, or withdraw any part of the Website, or restrict its availability, at any time, and we do not guarantee that the Website or any of its content will always be available or uninterrupted.

4. Acceptable Use

You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Website by, anyone else. In particular, you agree not to:

• Use the Website in any way that breaches any applicable law or regulation, or that is fraudulent or has any fraudulent purpose or effect

• Attempt to gain unauthorised access to the Website, the server on which it is stored, or any server, computer, or database connected to it

• Use any robot, scraper, spider, or other automated means to access, monitor, or copy the Website or its content, except for search-engine indexing carried out in accordance with our robots.txt file

• Introduce any virus, malware, or other material that is malicious or technologically harmful

• Attack the Website by means of a denial-of-service attack, or otherwise interfere with, damage, or disrupt the Website or any equipment or network on which it relies

• Submit false, misleading, or impersonating information through any form or through the Rayan assistant

• Use the Website, its content, or the Rayan assistant to build, train, or benchmark a competing product or service

We may restrict or withdraw your access to the Website if we reasonably believe you have breached these Terms. We may also report any breach that constitutes a criminal offence to the relevant authorities and cooperate with them.

5. Enquiry Forms & Free-Access Demos

The Website lets you contact us through enquiry forms — including the contact, careers, and free-access / demo-access forms — and through the Rayan assistant.

When you submit information through a form or the assistant, you agree that the information you provide is accurate and complete and that, where you submit it on behalf of an organisation, you are authorised to do so. How we handle the personal data you submit is described in our Privacy Policy.

Free-access demo programme. Where we provide demo credentials for an evaluation environment through the free-access programme, the following applies:

• Demo environments and credentials are provided solely for evaluation, free of charge, on an "as is" and "as available" basis, with no service-level commitment and no guarantee of continued availability.

• Demo credentials are issued to the requesting organisation, are non-transferable, and must not be shared or used in a production setting.

• Demo environments may be reconfigured, refreshed, suspended, or withdrawn at any time without notice, and any data entered into a demo environment may be deleted.

• Provision of a demo does not create any obligation on either party to enter into a commercial agreement.

6. The Rayan AI Assistant

Rayan is an AI assistant on the Website that answers questions about Zeour and can route enquiries to our team. By using Rayan, you accept these Terms and the processing described in our Privacy Policy.

Rayan generates responses using a large language model. Its responses are provided for general information only and may be incomplete, out of date, or inaccurate. They do not constitute professional, legal, financial, or technical advice, and they are not an offer, quote, commitment, or binding statement on behalf of Zeour.

You should not rely on a response from Rayan as the basis for any decision without confirming it with our team. Anything intended to be contractually binding must be set out in a written agreement signed by an authorised representative of Zeour.

Please do not submit confidential or sensitive information, or personal information about other people, to Rayan.

7. Website Content & No Reliance

The content on the Website — including product descriptions, blog articles, the glossary, case studies, pricing information, and the ROI calculators — is provided for general information only.

• Pricing bands and figures shown on the Website are indicative, may change, and are not an offer or a binding quote. A binding price is provided only in a written proposal or Statement of Work.

• The ROI calculators produce illustrative estimates based on assumptions and the inputs you provide. They are modelling tools — not a forecast, guarantee, or representation of the results you will achieve.

• Case studies and outcome figures describe particular deployments and are not a promise of comparable results in other contexts.

While we take reasonable care to keep the Website accurate and up to date, we make no representation or warranty that its content is accurate, complete, or current, and we are not liable for any decision taken in reliance on it. Where you need a definitive position, please contact us.

8. Intellectual Property

All intellectual property rights in the Website and its content — including text, graphics, logos, icons, images, page layouts, software, and the underlying design — are owned by Zeour or its licensors and are protected by United Kingdom and international intellectual property laws.

The names "Zeour", "GLARUS", "GRAVIA", "MediCare", and "Smart Parking", together with related logos and product names, are trademarks or brands of Zeour Ltd. Other names and marks referenced on the Website are the property of their respective owners and are used for identification only.

You may view, and print or download extracts of, Website content for your own internal informational and evaluation purposes. You must not:

• Copy, reproduce, republish, distribute, or commercially exploit any Website content without our prior written permission

• Modify, adapt, or create derivative works from any Website content

• Remove, alter, or obscure any copyright, trademark, or other proprietary notice

• Use any Website content in a way that suggests an association with, or endorsement by, Zeour where none exists

9. Commercial Engagements Are Separate

Nothing on the Website, in the Rayan assistant, or in these Terms creates a commercial relationship, an offer capable of acceptance, or any obligation on Zeour to supply a product or service.

Any purchase, licence, subscription, deployment, support, or professional-services engagement is governed exclusively by a separate written agreement between Zeour and the customer — for example a Statement of Work, a licence agreement, a master services agreement, or, where Zeour processes personal data on the customer's behalf, a data processing agreement.

If there is any conflict between these Terms and such a separate written agreement, the separate written agreement prevails in respect of that engagement.

10. Disclaimers & Third-Party Services

The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all representations, warranties, and conditions in relation to the Website that are not expressly set out in these Terms — including any implied warranties or conditions of satisfactory quality, fitness for a particular purpose, and non-infringement.

We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any defect will be corrected. You are responsible for configuring your own devices and security arrangements to access the Website.

The Website may contain links to third-party websites and relies on third-party services — such as OpenAI, which powers the Rayan assistant, and, where enabled, Google reCAPTCHA. We do not control third-party websites or services and are not responsible for their content, availability, or practices. Links are provided for convenience and do not imply our endorsement.

11. Limitation of Liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. This includes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any other liability that cannot be excluded or limited under the laws of England and Wales.

Subject to the paragraph above, and to the fullest extent permitted by law:

• We are not liable for any loss or damage that is not reasonably foreseeable, or for any indirect or consequential loss.

• We are not liable for any loss of profit, loss of business, business interruption, loss of anticipated savings, loss of goodwill, or loss or corruption of data, arising from your use of, or inability to use, the Website.

• Our total liability to you for all claims arising out of or in connection with the Website or these Terms is limited to GBP 100.

The Website is intended for business use. These limitations do not affect any separate written agreement you may have with Zeour, which contains its own liability terms governing the relevant products or services.

12. Suspension & Termination of Access

We may suspend, restrict, or terminate your access to all or part of the Website at any time, without notice, if we reasonably consider that you have breached these Terms, or where we need to do so for legal, security, or operational reasons.

You may stop using the Website at any time.

Suspension or termination does not affect any rights, obligations, or liabilities that accrued beforehand. The sections of these Terms that by their nature should survive — including Intellectual Property, Commercial Engagements Are Separate, Disclaimers & Third-Party Services, Limitation of Liability, and Governing Law & General — survive termination.

13. Governing Law & General

These Terms, their subject matter, and their formation are governed by the laws of England and Wales. You and Zeour each agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Website — except that we may bring proceedings to protect our intellectual property rights in any jurisdiction.

• Entire agreement: these Terms, together with the Privacy Policy, are the entire agreement between you and Zeour in relation to your use of the Website.

• Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

• Waiver: a failure or delay by us in exercising any right under these Terms is not a waiver of that right.

• Assignment: you may not assign or transfer your rights or obligations under these Terms. We may assign or transfer ours — for example, to another company in our group or in connection with a business transfer.

• No partnership or agency: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Zeour.

• Force majeure: we are not liable for any failure or delay in performing our obligations that is caused by events beyond our reasonable control.

• Third-party rights: a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
